Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Qianyun Machinery Co., Ltd., a manufacturer of liquid packaging equipment headquartered in China.

By accessing our website, requesting a quotation, placing a purchase order, or executing a sales contract with us, you acknowledge that you have read, understood, and agree to be bound by these Terms and any additional terms incorporated herein by reference.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not have such authority, or if you do not agree with these Terms, you must not proceed with any transaction.

Qianyun Machinery designs, manufactures, and supplies a range of end-of-line liquid packaging equipment, including but not limited to:

• Hot Melt Glue Labeling Machines -- for high-speed adhesive label application.
• Pressure-Sensitive Sticker Labeling Machines -- for self-adhesive label placement.
• Shrink Sleeve Labeling Machines -- for full-body container labeling.
• Bottle Unscramblers -- for automated container sorting and orientation.
• Air Conveyors & Mechanical Conveying Systems -- for seamless production line integration.
• Custom-Engineered Equipment -- bespoke machinery developed to meet specific customer requirements.

All product specifications, technical parameters, and performance data published on our website or in promotional materials are provided for reference purposes only. Final confirmed specifications are those stated in the executed sales contract or purchase order acknowledgment.

All purchase orders submitted by the Customer are subject to written acceptance by Qianyun Machinery. A binding contract is formed only upon our issuance of a signed sales contract or formal order confirmation.

Quotations issued by Qianyun Machinery are valid for thirty (30) calendar days from the date of issuance unless otherwise stated in writing. We reserve the right to withdraw or revise a quotation at any time before formal acceptance.

Any modifications to a confirmed order -- including changes to specifications, quantities, delivery schedule, or customization requirements -- must be submitted in writing and are subject to our written approval. Additional costs or revised lead times resulting from such changes shall be borne by the Customer.

Order cancellations by the Customer after contract execution may be subject to cancellation fees to cover engineering, material procurement, and manufacturing costs already incurred, as specified in the applicable sales contract.

Unless otherwise agreed in the sales contract, standard payment terms are as follows:

All prices are quoted in the currency stated in the sales contract and are exclusive of applicable taxes, import duties, freight charges, and installation costs unless explicitly included.

Late payments will accrue interest at a rate of 1.5% per month (or the maximum rate permitted by applicable law, whichever is lower) from the due date until full settlement. We reserve the right to suspend production, shipment, or after-sales services for overdue accounts.

Delivery lead times are estimates provided in good faith and commence upon receipt of the agreed deposit and confirmation of all technical specifications. Qianyun Machinery shall not be liable for delays caused by circumstances beyond our reasonable control, including but not limited to force majeure events, supply chain disruptions, or incomplete technical information from the Customer.

Risk of loss or damage to equipment passes to the Customer upon delivery to the agreed shipping point (EXW, FOB, or as specified in the sales contract). The Customer is responsible for obtaining appropriate cargo insurance.

Where on-site installation or commissioning services are included, the Customer shall be responsible for providing a safe and suitable working environment, adequate utilities (power, compressed air, water), and necessary site preparation in accordance with our technical requirements prior to the arrival of our engineers.

Acceptance testing shall be conducted at our factory prior to shipment, or at the Customer's site upon installation, as agreed in the contract. Failure to raise written objections within the agreed acceptance period shall constitute deemed acceptance.

Qianyun Machinery warrants that equipment manufactured by us will be free from defects in materials and workmanship under normal use and service conditions for a period of twelve (12) months from the date of acceptance or delivery, whichever occurs first.

This warranty does not cover:

• Damage resulting from misuse, neglect, unauthorized modification, or improper installation by parties other than our authorized personnel.
• Normal wear and tear, consumable parts (belts, blades, seals, etc.), or routine maintenance items.
• Damage caused by operating the equipment outside specified parameters or using incompatible materials.
• Third-party components or sub-systems not manufactured by Qianyun Machinery (which may carry separate manufacturer warranties).

To the maximum extent permitted by applicable law, Qianyun Machinery's total liability to the Customer under or in connection with any order shall not exceed the total purchase price paid for the specific equipment giving rise to the claim. We shall not be liable for any indirect, incidental, special, or consequential damages, including loss of production, loss of profits, or business interruption.

All intellectual property rights in and to our equipment designs, engineering drawings, software, technical documentation, trademarks, and website content are and remain the exclusive property of Qianyun Machinery Co., Ltd. or its licensors.

The sale of equipment does not transfer any intellectual property rights to the Customer. The Customer is granted a non-exclusive, non-transferable license to use any accompanying software and documentation solely for the purpose of operating the purchased equipment.

The Customer shall not reverse-engineer, decompile, disassemble, copy, or reproduce any part of our equipment design or software without our prior written consent. Any such unauthorized activity may result in legal action.

Where custom equipment is developed based on specifications or designs provided by the Customer, ownership of the resulting IP shall be agreed upon separately in writing prior to commencement of development.

Both parties acknowledge that in the course of their business relationship, each may receive or have access to confidential information belonging to the other party, including but not limited to technical specifications, pricing, business plans, and customer data ("Confidential Information").

Each party agrees to hold the other's Confidential Information in strict confidence, to use it solely for the purposes contemplated under the applicable sales contract, and not to disclose it to any third party without prior written consent, except as required by applicable law or regulation.

These confidentiality obligations shall survive the termination or expiration of any sales contract for a period of three (3) years.

These Terms and any sales contracts entered into between the parties shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law principles.

In the event of any dispute, controversy, or claim arising out of or relating to these Terms or any sales contract, the parties shall first attempt to resolve the matter through good-faith negotiation within thirty (30) days of written notice.

If the dispute cannot be resolved through negotiation, either party may submit it to arbitration under the rules of the China International Economic and Trade Arbitration Commission (CIETAC), with the arbitration to be conducted in Chinese and the award to be final and binding on both parties.

Qianyun Machinery reserves the right to update or modify these Terms at any time. Changes will be effective upon posting the revised Terms on our website with an updated effective date. We will endeavor to provide reasonable notice of material changes.

Your continued use of our website or submission of a purchase order following the posting of revised Terms constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you should cease using our website and contact us to discuss any pending transactions.

Sales contracts already executed prior to a revision of these Terms shall continue to be governed by the Terms in effect at the time of contract execution, unless both parties agree otherwise in writing.
